General Terms of Service for All Users
LeapNgo.com is fully controlled and operated by LeapNgo, Inc. (herein referred to as "Company", “us”, “we or “our”). By accessing and using this Site, you (“you”) are hereby agreeing to be legally bound by the terms and conditions of this agreement (the "Agreement"). Please note that this Site and the Services offered (as defined below) are only open to users 13 years and older to utilize the Individual Social Network and 18 years of age or older if you choose to create and use a “Business Member Page” or a “Non-Profit Member Page”. You must agree to all of the following terms and conditions, to use the Site. Company reserves the right, at Company's sole discretion, to change, modify or otherwise alter these terms and conditions at any time. Such changes and/or modifications shall become effective immediately upon change. Your use and continued use of the Site following the posting of changes and/or modifications will constitute your acceptance of the revised terms and conditions. The content of the pages of this website is for your general information and use only. It is subject to change without notice. Neither we nor any third parties provide any warranty or guarantee as to the accuracy, timeliness, performance, completeness or suitability of the information and materials found or offered on this website for any particular purpose. You acknowledge that such information and materials may contain inaccuracies or errors and we expressly exclude liability for any such inaccuracies or errors to the fullest extent permitted by law. Your use of any information or materials on this website is entirely at your own risk, for which we shall not be liable. It shall be your own responsibility to ensure that any products, services or information available through this website meet your specific requirements. This website contains material which is owned by or licensed to us. This material includes, but is not limited to, the design, layout, look, appearance and graphics. Reproduction is prohibited other than in accordance with the copyright notice, which forms part of these terms and conditions. Unauthorized use of this website may give to a claim for damages and/or be a criminal offence.
Eligibility
You understand that your use of a LeapNgo Individual account is available for your personal, non-commercial use only. You may not register for more than one Individual account, or register any account on behalf of anyone other than yourself, or register for an account on behalf of any business group or entity to which you are not authorized. You understand that your use of a LeapNgo Business account is available for a fee, for commercial use and purposes. You understand that your use of a LeapNgo Non-Profit account is available strictly for use of certifiable non-profit organizations.
Use of the LeapNgo website, service and registration for membership services is void where prohibited. By using LeapNgo.com, you represent, acknowledge, agree and warrant that: all your registration information submitted is honest, truthful and accurate; you will maintain the accuracy of such information; you are 13 years of age or older; and you will not violate any applicable laws, ordinances or regulations. Your LeapNgo profile page, site path and all content contained on the site is the exclusive property of LeapNgo, Inc. and may be deleted at anytime. When you post User Content to the Site, you authorize and direct us to make such copies thereof as we deem necessary in order to facilitate the posting and storage of the User Content on the Site. By posting User Content to any part of the Site, you automatically grant, and you represent and warrant that you have the right to grant, to the Company an irrevocable, perpetual, non-exclusive, transferable, fully paid, worldwide license (with the right to sublicense) to use, copy, publicly perform, publicly display, reformat, translate, excerpt (in whole or in part) and distribute such User Content for any purpose, commercial, advertising, or otherwise, on or in connection with the Site or the promotion thereof, to prepare derivative works of, or incorporate into other works, such User Content, and to grant and authorize sublicenses of the foregoing. You may remove your User Content from the Site at any time. If you choose to remove your User Content, the license granted above will automatically expire, however you acknowledge that the Company may retain archived copies of your User Content. LeapNgo does not assert any ownership over your User Content; rather, as between us and you, subject to the rights granted to us in these Terms, you retain full ownership of all of your User Content and any intellectual property rights or other proprietary rights associated with your User content You are fully responsible for the content, photos, Profile information, messages, notes, text, information, music, video, advertisements, listings, and other content that you upload, publish or display or post on or through the Service or the Site, or transmit to or share with other users. Your Membership may be revoked and terminated at anytime if we believe your information is willfully inaccurate, deceptive and/or illegal. Membership in the Service is void where prohibited. Eligibility is strictly limited to those who agree to and to abide by all of the terms and conditions of this Agreement.
Cost
It is hereby known, accepted and acknowledged that LeapNgo.com charges a fee for the access and services provided to businesses, and provides free access and services to Individual Members and Non-Profit Organizations, yet, hereby reserves the right to charge for any and/or all other Memberships and Services, (including Individual and Non-Profit Memberships) and/or to change any fees from time to time in its discretion. In the event LeapNgo terminates your Membership because of a breach in the terms and polices of this Agreement, you shall not be entitled to any refund of any kind for any payment of fees made.
Disclaimer and Limitation of Liability
Company is not liable for failure to monitor or edit messages sent over our Services. We do not endorse the content of users' communications and do not assume liability for any threatening, libelous, obscene, harassing or offensive material contained therein, User is responsible for maintaining the confidentiality of user's passwords and for all activities which occur under user's account. This site & all the material contained on it are distributed & transmitted on an as-is basis, without warranty, expressed or implied, and without limitation. Company and Site are not responsible or liable for any infections or contamination of your system, or delays, inaccuracies, errors, or omissions arising out of your use of this Site or with respect to the information and material contained on this Site. The entire risk as to the quality, accuracy, adequacy, completeness, correctness and validity of any material rests with you. LeapNgo, Inc. its affiliates, partners, parent companies, officers, directors, employees, agents, licensors, representatives, and third party providers to the site will not and cannot be held liable for damages of any kind, without limitation, including but not limited to compensatory, consequential, incidental, direct, indirect or special damages that may result from the use of or the ability or inability to use the site or materials contained on the site whether the material is provided or otherwise supplied by the site or any third party. Notwithstanding the foregoing, in no event shall Company and Site's liability to you for any and all claims, damages, losses, and causes of action (whether in contract, tort or otherwise) exceed the amount paid by you, if any, for accessing this Site.
Copyright & Intellectual Property Complaints
LeapNgo respects Copyrights and Intellectual property of others, and we hereby expect and require our members to do so as well. It is a strict violation of terms to upload, post, embed, send, or otherwise use or make available any material that infringes on any patent, trademark, copyright or other proprietary rights or intellectual property rights of another. We hereby reserve the right to terminate the membership of any such user who does so.
In accordance with the Digital Millennium Copyright Act (DMCA) and other applicable law, LeapNgo’s policy of terminating, in clear and appropriate circumstances and at our sole discretion, members who are deemed to be a repeat copyright infringer. LeapNgo may also at its sole discretion limit access to the Site and/or terminate the memberships of any users who infringe any intellectual property rights of others, whether or not there is any repeat infringement.
If you believe any of your work, or your entities work has been or is illegal in use, copied, displayed, posted or otherwise being infringed upon please contact customer service immediately with a full documentation, description and contact information.
Third Party Websites and Content
The LeapNgo Site contains (or you may be sent through the Site or the Service) links to several other web sites ("Third Party Sites") as well as blogs, articles, text, graphics, pictures, designs, music, sound, video, information, applications, software and other content or items belonging to or originating from third parties (the "Third Party Applications, Software or Content"). Such Third Party Sites and Third Party Applications, Software or Content are not researched, investigated, monitored or checked for accuracy, appropriateness, safety or function by us, and we cannot be held responsible for any Third Party Sites accessed through the Site or any Third Party Applications, Software or Content posted on, available through or installed from the Site, including the content, accuracy, offensiveness, opinions, reliability, safety, privacy practices or other policies of or contained in the Third Party Sites or the Third Party Applications, Software or Content. Any inclusion of, linking to or permitting the use or installation of any Third Party Site or any Third Party Applications, Software or Content does not imply approval, acceptance or endorsement thereof by us. If you decide to leave the Site and access any Third Party Sites or to shop, view, use or install anything, you do so at your own risk and you should be aware that our terms and policies only cover that which is within our website. Advertising
Our members may, from time to time enter into correspondence with or participate in the promotions of advertisers or providers of third party services through LeapNgo.com. All such correspondence, including, without limitation, any resulting contractual agreements, is solely between the advertiser and the Member and, as such, we cannot be held responsible for upholding any applicable terms, conditions, policies and/or representations of warranties and liability made by advertiser or user in connection therewith.
Terms of Sale
Please refer to our Terms of Sale for the rules, terms, conditions and policies applicable to your purchase of products or services from LeapNgo.com. By purchasing products or services from LeapNgo, either through our Site, through our Sales Reps, or as using our site as a portal to other sites, you agree to be bound by and accept the Terms of Sale. The Terms of Sale are subject to change without prior notice at any time, in Company's sole discretion so you should review the Terms of Sale each time you make a purchase.
Member Storage Space
The amount of storage space allocated per user is not unlimited. We hereby reserve the right to limit or expand the available space allocated per user. Photos, Videos, messages or Postings may not be processed due to space constraints or outbound message limitations. We assume no responsibility for the inability to store or any deletion of any content.
Member Disputes
You are solely responsible for your interactions with LeapNgo.com Members, Individuals or Business. We reserve full rights, but bear no obligation, to track, monitor and/or settle disputes between you and other users.
Statute of Limitations
User agrees that regardless of any statute or law to the contrary, any claim or cause of action arising out of or related to use of the Site or this Agreement must be filed within one (1) year after such claim or cause of action arose or be forever barred. You agree that all matters relating to your access to or use of or purchases made from the Site, including all disputes arising out of these Terms of Use, will be governed by the laws of the United States and by the laws of the State of Michigan without regard to its conflicts of any law provisions. You agree to the personal jurisdiction by and venue in the state and federal courts in Detroit, Michigan. Any claim under these Terms of Use must be brought within one (1) year after the cause of action arises.
Submissions
You hereby acknowledge, accept and agree that any submissions, questions, comments, complaints, suggestions, ideas, feedback or any other information about the Site or the Service, provided by you, to LeapNgo.com are non-confidential and shall become the sole property of LeapNgo. LeapNgo will hereby own exclusive rights, including all intellectual property rights, and shall be entitled to the unrestricted use and dissemination of these Submissions for any purpose, commercial or otherwise, without any reference acknowledgment or compensation.
On-Site Content
LeapNgo reserves the right to deny, reject, or delete any content on our site, for any reason, given or not given, at our sole discretion. LeapNgo assumes no responsibility for inspecting, and or monitoring the content or conduct of our users on the site. LeapNgo, however, reserves the right to inspect and monitor any and all content at any time. LeapNgo is not responsible for seeking, and or removal of any content that may or may not be in violation of our terms and conditions, or in violation of any other rules, laws or ordinances, furthermore, no inference of responsibility or liability can be made onto LeapNgo for any content by any user at any time.
You hereby agree and acknowledge that you are solely responsible for any and all content posted, or uploaded to LeapNgo.com, and any and all material transmitted to, through or on LeapNgo.com. In acknowledgement of our terms and conditions you are hereby notified that you agree to not post, upload, transmit, or otherwise display the following items and material on, through, or within LeapNgo.com: nudity or pornographic material, illegal material, violent or offensive material, material that infringes on national or international patents, copyrights or trademarks, material that poses a security or privacy issue to anyone, or entity, material deemed as harassing, defamatory, treasonous, threatening, slanderous, or libelous, material that exploits or violates the rights of a minor, material deemed as spam mail, material containing subliminal messages or images, material containing viruses, worms, spiders, or other computer code designed to harm or track information, material designed to and for soliciting, advertising or any commercial activities on an individual LeapNgo page, any material used for the facilitation of criminal activities (past, present or future), fraudulent, deceptive or misleading material, any material of or about another person or entity without their consent or permission, any material that can, could or encourages a breach in LeapNgo terms, security, standards and/or service including covering any banner ads on the site, any material or information to impersonate another or entity, any material regarding the sale or transfer of any members page, any material used to disclose any passwords of any member on the LeapNgo site, any material used for the harvesting of users private and or personal information, any material designed to harm or overburden the proper function of the website, and any material or code used or able to automatically control your page or functions on the page.
Trademarks
The name, LeapNgo, the logo, and website name are all registered trademarks of LeapNgo, Inc. The site design, application, names and functions are protected by US Patent, Trademark and Copyright law, and may not be used, represented or duplicated in any way, anywhere, or on any other website without exclusive written consent and or permission.

LeapNgo Business pages are special fee based profiles used solely for commercial purposes. You may not set up a Business Page on behalf of another individual or entity unless you are authorized to do so. Furthermore, by registering a Business Page you are certifying that the group, or entity you are applying under is legally and certifiably a legitimate Business. We reserve the right to deny, or revoke any Business membership if we believe the membership is not of a legitimate business or commercial status. We reserve the right to require production of any and all such documentation as proof of business status.>>>>
Business members are permitted to sell, solicit, promote and otherwise offer their products and services on and/or through the LeapNgo.com site. However, LeapNgo does not endorse, represent, or otherwise take responsibility for the goods, services or transactions in any way of anything sold or offered for sale from our members.
Business members may post, display, promote, or otherwise have links within their profile to an outside site if it relates and/or applies to their business. However, no links or directions to another site may be posted on or within the site directing anyone to an outside site that would otherwise be in violation of our terms of service, including but not limited to, porn sites, information and tracking sites, illegal sites, etc. LeapNgo business members
LeapNgo Non-Profit Pages
LeapNgo Non-Profit pages are special profiles used solely for not for profit commercial, political, or charitable purposes. You may not set up a Non-Profit Page on behalf of another individual or entity unless you are authorized to do so. Furthermore, by registering a Non-Profit Page you are certifying that the group, or entity you are applying under is legally and certifiably a Non-Profit Organization. We reserve the right to deny, or revoke any Non-Profit membership if we believe the membership is not of such status, or if you fail to provide such information proving such status. We reserve the right to require production of any and all such documentation as proof of non-profit status.
LeapNgo Classifieds
All listings posted on, with or through LeapNgo Classifieds and any and all transactions conducted in connection with such are subject to and governed by “LeapNgo Classified Terms & Conditions” and the “General Terms of Use” as provided herein.
Misc.
Company operates and controls this site from its offices at 5501 Boros Drive, Troy, MI 48085. No software from this Site may be downloaded, imported or exported in violation of any law including, without limitation, to countries that are subject to U.S. export restrictions. This Agreement contains the entire understanding and supersedes all prior understanding of the parties hereto relating to the subject matter hereof, and cannot be changed or terminated orally. If any provision of this Agreement is found to be illegal or unenforceable, the Agreement will be deemed curtailed to the extent necessary to make it legal and enforceable and will remain, as modified, in full force and effect.
Indemnity
You agree to indemnify and hold LeapNgo.com, its parent company, subsidiaries and affiliates, and each of their directors, officers, agents, contractors, affiliates, partners and employees, harmless from and against any loss, liability, claim, demand, damages, costs and expenses, including reasonable attorney's fees, arising out of or in connection with any User Content, any Third Party Applications, Software or Content you post or share on or through the Site, your use of the Service or the Site, your conduct in connection with the Service or the Site or with other users of the Service or the Site, or any violation of this Agreement or of any law or the rights of any third party.
Other
This constitutes the entire Terms of Use agreement between you and LeapNgo.com, and hereby supersedes any prior agreements relating to your use of the Site or the Service. The failure of Company to exercise or enforce any right or provision of these Terms of Use shall not constitute a waiver of such right or provision in that or any other instance. If any provision of this Agreement is held invalid, the remainder of this Agreement shall continue in full force and effect. If any provision of these Terms of Use shall be deemed unlawful, void or for any reason unenforceable, then that provision shall be deemed severable from these Terms of Use and shall not affect the validity and enforceability of any remaining provisions.
